These Terms of Service ("Terms") govern your use of ComplyAI ("Service"), a SaaS platform provided by SIRIUS GRUPA d.o.o. za ugostiteljstvo i usluge ("Provider"). By creating an account or using the Service, you agree to these Terms.

2. Service Description

ComplyAI is a SaaS platform focused on EU regulatory compliance for businesses. Core features include:

• AI-powered compliance checklists
• Document templates
• AI chat assistant for regulatory questions
• Regulatory alerts and monitoring

3. Registration and Account Use

To use ComplyAI, users register with email and password. You are responsible for account security and all account activities.

Prohibited activities include, without limitation:

• Providing false identity or company information
• Sharing credentials with unauthorized third parties
• Unauthorized access attempts, scraping, reverse engineering, or abuse
• Using the Service for unlawful purposes

4. No Legal Advice (Important)

ComplyAI provides informational guidance only and does not constitute legal advice.

You are solely responsible for your compliance decisions, implementation choices, and legal outcomes. For binding legal interpretation, consult a qualified legal professional.

5. Subscription, Pricing, and Billing

• Free tier: basic monitoring features.
• Pro tier: €199/month with full platform functionality.

Payments will be processed via Stripe when billing is enabled. Subscriptions renew automatically unless cancelled before the next billing cycle. You can cancel at any time; access remains until the end of the paid period.

6. Intellectual Property

All rights to the ComplyAI platform, including source code, design, branding, UI, and related content, belong to SIRIUS GRUPA d.o.o. or its licensors. Use of the Service does not transfer ownership of intellectual property rights to users.

7. Limitation of Liability

ComplyAI is provided on an "as is" and "as available" basis, to the maximum extent permitted by law.

• We do not guarantee uninterrupted or error-free operation.
• We are not liable for indirect, incidental, consequential, or special damages (including loss of profit, business interruption, or loss of data).
• We are not liable for outcomes of user compliance decisions made using informational guidance in the Service.
• Our total aggregate liability is limited to the amount paid by you for the Service during the preceding 12 months.

8. Termination and Account Closure

You may terminate your account at any time. Upon account closure, your data is handled according to the Privacy Policy retention rules.

We may suspend or terminate access for violations of these Terms, non-payment, abuse, security threats, or unlawful use.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Croatia. The competent court is Trgovački sud u Dubrovniku.

EU consumers may use the Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.
